Well I guess since acad materials are just *.bmp files then just save them and start a new material using the bmp ???????

To put a little more flesh on the bones - unfortunately, AutoCAD and MAX materials are not compatible and cannot be translated, one to the other (unless there's a bolt-on out there?). This is a major source of frustration. Mr T is right - if your materials are based on bitmaps, you can create equivalents in both apps but it is a real pain and the difference in the two apps means that it is difficult to get both materials looking exactly the same. Most people who work between AutoCAD and MAX may model in AutoCAD but render and animate in MAX.
We are all waiting for the day when the MAX/VIZ render/materials engine is ported to AutoCAD - what a joy that would be and probably worth the upgrade price
