What version of AutoCAD? Sounds like it cannot find the text editor.
If r2000/2000i or 2002 go to TOOLS - OPTIONS and then look under the FILES tab. Then click on the "+" next to Text Editor, Dictionary, and Font File Name. There will be a "+" next to Text Editor Application. It should say Internal next to the arrow. You can also point to your notepad application.

When using the MText command with the MTEXTED system variable set to "internal" (the default setting), the MText Editor dialog box does not display, after you specify the corners of the mtext boundary. This problem is due to a system file, riched32.dll,which is corrupt or missing.
The solution is to restore riched32.dll from the original operating system installation CD, (whether Windows 95, Windows 98, or Windows NT). The file should be restored to the \Windows\System32 folder for Windows NT or the \Windows\System folder for Windows 95 and Windows 98.
